Maximos AI Affiliate Terms and Policies

We may update or modify these Affiliate Terms and Policies from time to time. If we make material changes, we will notify Affiliates by updating the “Last Updated” date above and, where appropriate, provide additional notice (such as by email or in the Affiliate Dashboard). Your continued participation in the Program after any changes indicates your acceptance of the updated Terms and Policies.
1. Overview
Maximos AI LLC (“Company,” “We,” or “Us”) offers an affiliate program (the “Program”) that allows individuals and businesses (“Affiliates”) to promote our services and earn commissions for successful referrals. By participating, you agree to these Affiliate Terms and Policies and to abide by applicable laws and regulations, including those of the United States and the State of Wyoming.
2. Eligibility
2.1. Affiliates must be at least 18 years old and legally capable of entering into binding agreements..
2.2. Maximos AI LLC reserves the right to accept or reject any application at its sole discretion.
2.3. Affiliates must not engage in activities that harm Maximos AI LLC’s reputation or violate these Terms and Policies.
2.4. Affiliates must provide accurate information, including residency status, to determine applicable tax and payment procedures.
3. Affiliate Commission Structure
3.1. Affiliates will earn approximately 30% recurring commission for each active subscription referred to Maximos AI LLC.
3.2. Commissions will be paid monthly, provided: The referred subscription remains active and paid.The Affiliate complies with these Terms and Policies.
3.3. If a subscription ends, becomes inactive, or is canceled, the commission for that subscription will also terminate.
3.4. Affiliates must complete the necessary tax forms (W-9 for U.S. persons, W-8BEN for non-U.S. persons) before receiving commission payments.
3.5. Recurring commissions apply for the lifetime of the referred customer’s active subscription unless otherwise stated in writing by Maximos AI LLC.
4. Payment Terms
4.1. Net-30 Payment Schedule: Commissions will be paid on the 30th of each month for earnings generated in the previous calendar month. For example, commissions earned in February will be paid on March 30th. Payments are subject to the commission balance exceeding $50.
4.2. Payment Methods: Maximos AI LLC uses WISE for fund transfers. If an Affiliate selects another payment method, WISE transfer fees may be deducted from the payout. (Sign Up for WISE here)
4.3. Affiliates are responsible for providing accurate payment details and maintaining compliance with applicable tax laws.
4.4. Maximos AI LLC is not liable for payment delays or losses due to incorrect payment information provided by Affiliates.
4.5. Refund & Clawback Policy:
If a referred customer requests and receives a refund for their subscription after the affiliate has been paid, Maximos AI LLC reserves the right to deduct the paid commission from the affiliate’s future payouts.
If the affiliate does not have sufficient future commissions, Maximos AI LLC may request repayment, and failure to comply may result in account suspension or termination.
Refund Timeline: Refunds requested beyond 45 days of the initial payment will not impact affiliate commissions.
Commission Dispute Clause: Affiliates must raise any commission-related disputes within 60 days of payout. Any disputes raised beyond this period will not be considered.

If an Affiliate account does not generate any new commissions for a period of twelve (12) consecutive months, Maximos AI LLC reserves the right to deactivate the account. Any unpaid balances under the $50 minimum threshold will be forfeited.
5. Restrictions and Prohibited Activities
5.1.
Affiliates may not misrepresent themselves as employees, agents, or official representatives of Maximos AI LLC. All promotions must clearly identify the Affiliate as an independent promoter.
5.2. Affiliates must not:
Engage in deceptive or fraudulent practices. Bid on Maximos AI LLC’s trademarks or branded keywords in paid advertisements. Send unsolicited emails or violate anti-spam laws. Use unauthorized means to generate leads (e.g., cookie stuffing or spamming).
5.3. Any violation of these restrictions may result in immediate termination of the Affiliate account and forfeiture of unpaid commissions.
6. Liability for Damages
6.1. Affiliates agree to indemnify and hold harmless Maximos AI LLC from any claims, damages, or losses resulting from:
Affiliate’s violation of these Terms and Policies.
Fraudulent or deceptive activities.
Unauthorized use of Maximos AI LLC’s intellectual property or promotional materials.
6.2. If an Affiliate’s actions cause financial or reputational harm to Maximos AI LLC, the Affiliate agrees to compensate the Company for all damages, including but not limited to legal fees, fines, and loss of revenue.
7. Intellectual Property
7.1. Affiliates are granted a limited, non-exclusive, revocable license to use Maximos AI LLC’s promotional materials, trademarks, and logos solely for the purpose of promoting our services.
7.2. Affiliates must not modify or misuse Maximos AI LLC’s intellectual property.
8. Confidentiality
All information provided by Maximos AI LLC, including customer data, commission structures, and promotional strategies, must be treated as confidential. Affiliates may not disclose this information to third parties without written consent.
9. Tax Compliance
9.1. For U.S. Affiliates: If total earnings exceed $600 annually, Maximos AI LLC will issue Form 1099-NEC for tax reporting purposes.
9.2. For Non-U.S. Affiliates: Non-U.S. affiliates must submit Form W-8BEN to determine applicable tax withholding rates.
9.3. Affiliates are responsible for reporting their earnings and complying with local tax regulations.
9.4. Secure document upload platforms will be used for submitting W-9 and W-8BEN forms to protect sensitive information.
10. Termination
10.1. Either party may terminate this agreement at any time, with or without cause, by providing written notice.
10.2. Upon termination, Affiliates will no longer earn commissions on referrals made after the termination date.
10.3. Non-Transferability. Affiliate accounts, commissions, and obligations are non-transferable and may not be assigned or sold to another party without the prior written consent of Maximos AI LLC.
11. Disclaimer and Limitation of Liability
11.1. Maximos AI LLC provides the Affiliate Program "as is" and makes no guarantees regarding specific results or earnings.
11.2. To the maximum extent permitted by law, Maximos AI LLC will not be liable for indirect, incidental, or consequential damages arising from participation in the Program.
12. Governing Law and Dispute Resolution
12.1. This agreement shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles.
12.2. Any disputes shall be resolved through binding arbitration in Wyoming, in accordance with the rules of the American Arbitration Association.
13. Modification of Terms
Maximos AI LLC reserves the right to update or modify these Terms and Policies at any time. Affiliates will be notified of significant changes, and continued participation constitutes acceptance of the revised terms.
